This Vimeo Referral Agreement (“Agreement”) is entered into by and between Vimeo.com, Inc. (“Vimeo,” “we,” “us,” or “our”) and you, the program member (“you” or “your”). This Agreement governs your membership in Vimeo's customer referral programs described herein (collectively, the “Program”). By submitting an application or otherwise becoming a member of the Program, you agree to be bound by this Agreement.

 

1. Program Overview

The Program allows members to refer potential customers to Vimeo. Vimeo offers two types of referral programs:

  •  Self-Serve Referral Program: Designed for individual Vimeo subscribers who wish to share Vimeo with their personal or professional networks. Through a dedicated referral page (https://share.vimeo.com/refer), members can invite friends, family, or colleagues who are new to Vimeo. Rewards are granted when referrals convert to annual self-serve subscriptions.
  •  Vimeo Experts Program: Designed for members positioned to connect Vimeo with businesses or organizations. Approved members can submit referrals through a specialized portal that may lead to enterprise-level contracts. This program includes higher reward tiers to reflect the value of business-level subscriptions.

Eligibility: To become a Program member, you must: (a) maintain a paid Vimeo plan; (b) meet the age requirements set forth in Vimeo's Terms of Service; (c) be a resident of a jurisdiction where membership in the Program is lawful; and (d) submit an application to Vimeo through the Program’s online portal.

Vimeo will notify you via email if your application is approved. Vimeo reserves the right, in its sole discretion, to determine eligibility and Program membership. Vimeo employees are not eligible to participate.

 

2. Referral Process

To make a referral, you must provide the prospective customer’s email address, generate an email through the Program portal or landing page, and follow any additional instructions provided. Each properly submitted email shall constitute a “Referral.” Any referral that does not comply with these requirements (including any email sent outside of the Program portal) shall be invalid and create no obligation on Vimeo's part.

A Referral will be deemed to result in a “Qualified Customer” when:

  •  the customer purchases a Vimeo self-serve subscription within 30 days after the Referral date; or
  •  the customer enters into a Vimeo enterprise subscription agreement within 3 months after the Referral date.

Exclusions: No Qualified Customer will result from: (a) any entity that, within 60 days before the Referral date, was an existing Vimeo customer or was in active discussions with Vimeo; (b) customers who sign up only for free-trial offers (unless and until they become paying subscribers); (c) customers who subscribe through a discount, bundle, or promotional offer separate from the Program; or (d) entities you have repeatedly referred.

Multiple Referrals: If multiple members refer the same customer, Vimeo reserves the right to determine which referring member shall receive credit, or to split or deny the reward.

No Obligation to Contract: Vimeo is under no obligation to enter into any agreement with a referred customer.

Bulk Distribution (Spam): You are the actual sender of any referral emails and are solely responsible for compliance with all applicable laws, including anti-spam and data privacy laws. All referrals must be made in a personal manner suitable for friends, colleagues, or family. Bulk or unsolicited email distribution is expressly prohibited and may result in immediate termination of your membership.

Consent Representation: You represent and warrant that you have obtained the necessary consent or other lawful basis to share each prospective customer's contact information with Vimeo for purposes of the Program and that doing so will not violate any applicable privacy or data protection laws.

Definitions: As used herein: (a) a “self-serve subscription” means a subscription to a Vimeo software-as-a-service product purchased directly from Vimeo through our online platform; and (b) an “enterprise subscription” means a subscription to a Vimeo software-as-a-service product entered into through a sales-assisted process with a Vimeo salesperson and a contract.

 

3. Rewards and Payments

Rewards: Vimeo will pay rewards in the form of Amazon gift cards, as follows:

  •  $50 for each Qualified Customer who purchases an annual self-serve subscription;
  •  $200 for each Qualified Customer who enters into a contract for an enterprise subscription with an annual contract value of $10,000 or less; and
  •  $1,000 for each Qualified Customer who enters into a contract for an enterprise subscription with an annual contract value of more than $10,000.

Determinations: Vimeo shall make all determinations concerning Referrals, Qualified Customers, and reward eligibility. All determinations shall be final and binding. Vimeo shall have no obligation to pay a reward for any product or service not expressly described above or where you have violated any provision of this Agreement.

Payment Terms: Rewards will be issued within 60 days after the Qualified Customer becomes a Vimeo customer. No reward shall be payable if, during that 60-day period, the customer receives a refund, the transaction is reversed or charged back, or the account is terminated for non-payment. All amounts are denominated in U.S. dollars.

Reward Limitations: Rewards have no cash value, are non-transferable, and may not be redeemed for cash, auctioned, traded, bartered, or sold. Gift cards or vouchers are subject to the issuer’s terms and conditions. Vimeo may delay or withhold rewards pending verification or investigation and may refuse to issue rewards in cases of suspected fraud, abuse, or violation of this Agreement.

Taxes: You are solely responsible for any and all taxes, duties, or other liabilities arising from your receipt of rewards under the Program. Vimeo may be required by law to report reward payments to tax authorities.

 

4. Use of Marks

Your use of Vimeo’s name, logo, and trademarks must comply with Vimeo’s Brand Guidelines.

 

5. Restrictions and Indemnification

You must comply with this Agreement, all Program requirements, and all applicable laws. Failure to do so will void any obligation by Vimeo to pay rewards.

You may not:

  •  represent yourself as employed by, affiliated with, endorsed by, or an authorized reseller of Vimeo (though you may identify yourself as a "member of the Vimeo Referral Program");
  •  make false, misleading, or disparaging statements about Vimeo, the Program, or Vimeo’s services;
  •  engage in fraudulent, deceptive, or unlawful conduct;
  •  refer yourself or any entity you own or control;
  •  create multiple or fictitious Vimeo accounts;
  •  use the Program to violate any law or third-party rights, or to engage in harassing, harmful, or obscene conduct;
  •  tamper with or abuse the Program or use bots, scripts, or automation;
  •  modify or misuse Vimeo-provided marketing materials; or
  •  use Vimeo’s marks except as expressly permitted herein.

Indemnification: You agree to indemnify, defend, and hold harmless Vimeo, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of this Agreement, (b) your misuse of the Program, or (c) any violation of applicable law, including data protection and marketing regulations.

 

6. Modification and Termination

Vimeo may, at any time and in its sole discretion, modify or discontinue the Program (including by changing reward structure), provided such changes apply prospectively only. Vimeo will use reasonable efforts to provide notice of any material modifications by posting updated terms on the Program portal or notifying members via email.

Vimeo may immediately suspend or terminate your membership if you violate this Agreement. Upon termination, all rights to rewards not yet earned shall immediately cease. Sections 5 (Restrictions and Indemnification), 7 (Relationship of the Parties), and 8 (Other Terms) shall survive termination.

 

7. Relationship of the Parties

You and Vimeo are independent contractors. Membership in the Program does not create any partnership, joint venture, employment, agency, or franchise relationship between you and Vimeo. You may not assign this Agreement; any attempted assignment shall be void.

 

8. Other Terms

This Agreement incorporates by reference (1) Vimeo’s Privacy Policy; and (2) the following sections of Vimeo’s Terms of Service: Section 9 (Disclaimers), Section 10 (Limitation of Liability), Section 11 (Disputes, Arbitration, and Choice of Law), and Section 12 (General Provisions).
